In Camera Sessions

1. Any Board member may move that a portion of a meeting be held in camera. If
there is no objection, the Chair shall declare the ensuing portion of the meeting
to be held in camera until further motion to exit. If there is an objection from any
member on the motion to go in camera, there shall be a formal motion and vote
with no debate.
2. The following rules shall apply to the in-camera portion of any meeting, subject
to a contrary motion of the Board:

SIRRA Communication Protocol

1. A director or any member of a SIRRA committee acquiring information on behalf of SIRRA and of interest to the board and membership will first and foremost provide that information to the SIRRA board.
2. The board will in turn decide, generally through Electronic Attendance in a meeting on the subject, whether there should be a release of the information.
3. The board, if it so decides, will direct the Communications Secretary to prepare an information release.

Electronic Attendance at Board Meetings

1. Meeting Formats:

Executive meetings may be conducted in the following formats:

(i) Standard: most directors attend in person with the potential for any director not present to participate through “Electronic Attendance” (“EA”). EA mechanisms for this purpose include telephone, video (Skype, Facetime and other similar means) in the discretion of the directors from time to time;

Bylaws of SATURNA ISLAND RATEPAYERS AND RESIDENTS ASSOCIATION

Part 1 — Interpretation
1. In these bylaws, unless the context otherwise requires:
(a) "directors" means the directors of the Association for the time
being;
(b) "Society Act " means the Society Act of British Columbia from time
to time in force and all amendments to it;
(c) "registered address" of a member means the member's address
as recorded in the register of members.
(d) The definitions in the Society Act on the date these bylaws become
effective apply to these bylaws.
